Amazon and VCs Stand to Make Billions from Anthropic IPO

Share

Tech venture capitalists and strategic giants like Amazon prepare for massive financial windfalls as artificial intelligence firm Anthropic goes public.

Abstract financial chart representing venture capital and corporate investment growth

Venture capital firms including Menlo Ventures, Sequoia, Sound Ventures, and Spark Capital are projected to earn billions of dollars from the upcoming public offering of artificial intelligence company Anthropic. According to the company's S-1 filing reported by TechCrunch, none of these venture firms hold the 5% threshold required to appear in the principal stockholders table. Because Anthropic reached a private valuation of $965 billion, a 1% stake is valued at nearly $10 billion, meaning even substantial multi-billion-dollar positions translate to small single-digit percentages.

Strategic business partners rather than traditional venture firms are poised to capture the largest financial gains. TechCrunch reports that Amazon stands out as a primary financial beneficiary, having initially backed Anthropic in 2023 with a commitment of up to $4 billion. Amazon structured a large portion of its investments as convertible notes, holding $6.2 billion in principal outstanding as of June 30. Driven by soaring private valuations, Amazon's internal filings valued those note holdings at $97.9 billion by the end of June.

The surging value of these convertible notes forced Anthropic to record massive non-cash adjustments on its income statement, totaling $72.4 billion for the first half of 2026 under changes in fair value. Amazon's notes could convert into as many as 1.84 billion shares, though a cap restricts conversion to 12% of the partially diluted share count. Beyond the notes, Amazon invested an additional $10 billion in nonvoting preferred stock across two recent funding rounds, bringing its total investment to approximately $18 billion. Furthermore, Anthropic committed to spend at least $110 billion on Amazon Web Services over the next decade.

Google is also positioned for a major financial return from both the public listing and its own cloud computing agreements with Anthropic. Court filings cited by TechCrunch indicate Google held about 14% of Anthropic early last year and has continued investing, including $10 billion in April. PitchBook analyst Harrison Rolfes estimates Google's current stake sits closer to 5.6% following subsequent funding rounds. Google has additionally secured at least $114 billion in cloud commitments from Anthropic through 2033.

Background

Anthropic's massive scale and capital requirements have reshaped traditional startup investment dynamics. While venture capital firms provided crucial early funding, the capital intensity of training frontier artificial intelligence models brought cloud providers into the cap table as major equity and debt holders. Amazon and Google transitioned from outside cloud providers into foundational stakeholders through billions in capital injections and multi-year infrastructure commitments.

Why It Matters

The financial structure of Anthropic's public offering highlights a fundamental shift in how artificial intelligence companies scale, relying heavily on cloud hyperscalers rather than standalone venture funding alone. While early venture backers will secure substantial returns, the arrangement places immense financial rewards and commercial leverage in the hands of major enterprise cloud providers that also build competing artificial intelligence models. This intertwining of equity ownership and multi-billion-dollar cloud spending commitments introduces complex corporate dynamics, as warned in the company filings regarding potential strategic misalignments between Anthropic and its primary infrastructure partners.
